1. Scope of these Terms

These Terms apply only to the public Website and communications initiated through it.

These Terms do not govern any account, payment, money-transmission, foreign-exchange, digital-asset, custody or settlement service. Any such service is subject to separate written agreements identifying the responsible service provider, applicable regulatory status, fees, risks, eligibility requirements and governing law.

Submitting an inquiry or expression of interest does not create a customer, fiduciary, advisory or financial-services relationship between you and Fiducia Clearing.

2. Eligibility and authorized users

The Website is intended for businesses and their authorized representatives. You must be at least 18 years old to use the Website.

If you use the Website or provide information on behalf of an organization, you represent that you have authority to act, bind or provide information on behalf of that organization.

You are responsible for ensuring that your use of the Website complies with the laws applicable to you and your organization.

3. Website information only

Content on the Website is provided for general informational purposes. Nothing on the Website constitutes:

• an offer, approval or guarantee to open an account or provide a service;
• financial, investment, legal, accounting or tax advice;

• may be subject to identity, business, ownership, eligibility, sanctions, compliance and risk review;

• may be accepted, declined, suspended or discontinued where permitted by law.

You must provide information that is accurate, current and complete. You must not submit information that you are not authorized to provide.

Do not submit passwords, authentication codes, private keys, seed phrases or sensitive identity documents through general Website forms or ordinary email.

5. Regulatory information

Fiducia Clearing Limited is registered with the U.S. Financial Crimes Enforcement Network (“FinCEN”) as a Money Services Business under MSB Registration Number 31000335047573.

MSB registration is a registration under the Bank Secrecy Act. It is not a banking charter, money-transmitter license, or approval, certification, verification, recommendation or endorsement by FinCEN or any other governmental authority. Information appearing in FinCEN’s MSB Registrant Search is provided by the registrant and is not verified by FinCEN.

Registration with FinCEN does not authorize Fiducia Clearing to provide services in every state or jurisdiction. Services are available only where legally permitted and may be provided by, through or in coordination with appropriately regulated third-party providers. Availability is subject to eligibility, compliance review and separate written agreements.

Fiducia Clearing is a financial technology company and is not a bank. Unless expressly stated in a separate written agreement, products described on the Website are not bank deposits and are not FDIC-insured.

Digital assets involve substantial risk, including volatility and possible loss of value. Nothing on the Website is a representation that a digital asset is suitable for you.

6. Permitted and prohibited use

You may use the Website only for lawful personal, business and informational purposes.

You must not:

• use the Website in connection with fraud, money laundering, terrorist financing, sanctions evasion or any unlawful activity;
• provide false, misleading, incomplete or unauthorized information;
• impersonate another person or organization;
• attempt to gain unauthorized access to the Website, systems, data or accounts;
• introduce malware, malicious code or harmful material;
• disrupt or interfere with the Website’s operation, security or availability;
• probe, scan or test vulnerabilities without prior written authorization;

15. Indemnification

This section does not apply to the extent prohibited by applicable law.

17. Governing law and venue

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Any dispute arising from or relating to the public Website or these Terms will be subject to the exclusive jurisdiction of the state and federal courts having jurisdiction over Sheridan County, Wyoming, unless applicable law requires otherwise.

18. General provisions

If a provision of these Terms is held unenforceable, the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver.

You may not assign your rights under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, financing, sale of assets or similar transaction.

These Terms and the Website Privacy Notice constitute the entire agreement concerning use of the public Website. They do not replace any separate written agreement governing a financial product or service.
